Introduction

These Terms of Service ("Terms") govern your access to and use of the websites, products, and services provided by ForgeDBI LLC ("ForgeDBI," "we," "us," or "our"), including but not limited to ForgeHome, PlotAtlas, and any custom applications or websites we build for you.

By accessing or using our services, you agree to be bound by these Terms. If you do not agree, do not use our services.

Definitions

  • "Services" refers to all products, platforms, websites, and applications provided by ForgeDBI, including ForgeHome, PlotAtlas, custom websites, custom applications, and related support and maintenance.
  • "Platform" refers to ForgeHome, our multi-tenant content management system and CRM for home builders.
  • "Client," "you," or "your" refers to the individual or entity that has agreed to these Terms and uses our Services.
  • "Content" refers to text, images, data, files, and other materials uploaded to or created within our Services.
  • "Subscription" refers to your recurring payment plan for access to the ForgeHome platform.

Services

ForgeHome Platform

ForgeHome is a multi-tenant platform that provides website content management, CRM functionality, listing management, lead capture, and related tools for home builders. Access to ForgeHome requires an active subscription.

PlotAtlas

PlotAtlas provides interactive site map functionality that can be integrated with ForgeHome or embedded on third-party websites. PlotAtlas may be included in your subscription or available as an add-on.

Custom Websites and Applications

ForgeDBI provides custom website design, development, and application development services. These services are governed by these Terms and any additional project agreement or statement of work.

Account Registration

To use our Services, you must create an account and provide accurate, complete, and current information. You are responsible for:

  • Maintaining the confidentiality of your account credentials
  • All activity that occurs under your account
  • Notifying us immediately of any unauthorized use of your account

You must be at least 18 years old and have the legal authority to enter into these Terms on behalf of yourself or your organization.

Subscriptions and Payment

Subscription Plans

ForgeHome is available through subscription plans (Starter, Growth, Enterprise, or Custom). Each plan includes specific limits on states, counties, cities, communities, floor plans, and users.

Billing

  • Subscriptions are billed monthly or annually, depending on your selected billing cycle
  • Annual subscriptions are billed in advance for the full year
  • Monthly subscriptions are billed in advance each month
  • All fees are in U.S. dollars

Payment

  • Payment is due on the date specified on your invoice
  • We accept major credit cards and ACH/bank transfer
  • If payment fails, we will attempt to notify you and may suspend access to the Services until payment is received

Price Changes

We may change subscription pricing with 30 days' written notice. Price changes take effect at the start of your next billing cycle. If you do not agree with a price change, you may cancel your subscription before the new pricing takes effect.

Refunds

  • Monthly subscriptions: No refunds for partial months
  • Annual subscriptions: No refunds for the remaining term after cancellation
  • One-time design and development fees: Non-refundable once work has commenced

Cancellation and Termination

Cancellation by You

You may cancel your subscription at any time by contacting us at support@forgedbi.com or through your account dashboard.

  • Monthly subscriptions: Cancellation takes effect at the end of the current billing period
  • Annual subscriptions: Cancellation takes effect at the end of the current annual term
  • Upon cancellation, your access to the Platform will continue until the end of your paid period

Termination by Us

We may suspend or terminate your access to the Services if:

  • You violate these Terms
  • Payment is overdue by more than 30 days
  • You use the Services in a manner that is illegal, harmful, or disruptive

We will make reasonable efforts to notify you before termination, except in cases of serious violations.

Data After Termination

Upon termination or cancellation:

  • You will have 30 days to export your data
  • After 30 days, we may delete your account and associated data
  • We are not obligated to retain your data beyond this period

Intellectual Property

Your Content

You retain all rights to the content you upload to or create within our Services, including text, images, community data, floor plan information, and other materials.

By using our Services, you grant ForgeDBI a limited, non-exclusive license to use, display, and process your Content solely for the purpose of providing the Services to you.

Our Platform

ForgeDBI retains all rights to the ForgeHome platform, PlotAtlas, and any proprietary tools, code, designs, and technology we create. This includes:

  • Platform code and architecture
  • Proprietary features and functionality
  • Documentation and training materials

Custom Work

For custom websites and applications:

  • Design files: Upon full payment, you receive a non-exclusive license to use the custom design created for your project
  • Platform code: ForgeHome platform code remains the property of ForgeDBI
  • Custom application code: Ownership of custom application code will be defined in your project agreement or statement of work
  • Third-party components: Some components may be subject to third-party licenses

Acceptable Use

You agree not to:

  • Use the Services for any illegal purpose
  • Upload content that is defamatory, obscene, or infringes on the rights of others
  • Attempt to gain unauthorized access to the Services or other users' accounts
  • Reverse engineer, decompile, or disassemble any part of the Services
  • Use the Services to send spam or unsolicited communications
  • Resell or redistribute access to the Services without our written consent
  • Interfere with the operation or security of the Services
  • Use the Services in a way that could harm other users or the Platform

Third-Party Integrations

Our Services may integrate with third-party platforms, including but not limited to:

  • CRM systems (Lasso, HubSpot, Salesforce)
  • Listing syndication platforms (Zillow, Realtor.com, NewHomeSource, Homes.com)
  • Analytics and tracking tools
  • Payment processors

These third-party services are governed by their own terms and privacy policies. ForgeDBI is not responsible for the availability, accuracy, or practices of third-party services.

Uptime and Availability

We strive to maintain high availability of our Services but do not guarantee uninterrupted access. We may experience downtime due to:

  • Scheduled maintenance (we will provide reasonable notice)
  • Unscheduled maintenance or emergency repairs
  • Circumstances beyond our control

We are not liable for any losses or damages resulting from service interruptions.

Limitation of Liability

To the maximum extent permitted by law:

  • ForgeDBI's total liability for any claims arising from these Terms or your use of the Services is limited to the amount you paid to ForgeDBI in the 12 months preceding the claim
  • ForgeDBI is not liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, data, or business opportunities
  • ForgeDBI is not liable for any damages resulting from third-party integrations, data loss due to user error, or circumstances beyond our reasonable control

Indemnification

You agree to indemnify and hold harmless ForgeDBI, its officers, employees, and agents from any claims, damages, losses, or expenses (including reasonable legal fees) arising from:

  • Your use of the Services
  • Your violation of these Terms
  • Your Content or data
  • Your violation of any third-party rights

Warranties and Disclaimers

The Services are provided "as is" and "as available." To the maximum extent permitted by law, ForgeDBI disclaims all warranties, express or implied, including:

  • Warranties of merchantability
  • Warranties of fitness for a particular purpose
  • Warranties of non-infringement
  • Warranties that the Services will be uninterrupted or error-free

Governing Law

These Terms are governed by and construed in accordance with the laws of the State of Maryland, without regard to conflict of law principles. Any disputes arising from these Terms will be resolved in the state or federal courts located in Maryland.

Changes to These Terms

We may update these Terms from time to time. When we do, we will:

  • Update the "Last Updated" date at the top of this page
  • Notify you of material changes via email or through the Services
  • Give you reasonable time to review changes before they take effect

Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
